Project Acceptance

At the time of proposal, Glimpse Media will provide the customer with a written estimate or quotation. The Terms and Conditions can be read on Glimpse Media’s website.

A copy of the written estimate or quotation is to be signed and dated by the customer to indicate acceptance and should be returned to Glimpse Media. Alternatively, the client may send an official order in reply to the estimate or quotation which binds the client to accept Glimpse Media's terms and conditions. No work on a project will commence until either document has been received by Glimpse Media.

Design Charges

Charges for design services to be provided by Glimpse Media LTD. will be set out in the written estimate or quotation that is provided to the customer. At the time of the customer's acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 50% of the quoted fee will become immediately due unless otherwise stated with the remaining 50% due after completion for projects requiring more than 2 months work. For web design and development work, a non-refindable deposit of 20% is required at the time of a customer's acceptance of the estimate or quotation of a project unless otherwise stated with the remaining non-refunable 80% required upon project completion. For all remaining design work which will take less than two months to complete, a non-refundable depsoit of 0% will be required at the time of a customer's acceptance of the estimate or quotation unless otherwise stated with the remaining 100% due upon completion of the project. Work on the project will not commence until Glimpse Media has received this first deposit.

Charges for other services

Charges for Other Services Charges for any additional services over and above the estimated design, will become fully payable (100% of the quoted amount) at the time of estimate or quotation acceptance.

Payment

The customer will be provided with an Approval Form and Invoice prior to final publication. At this time the remainder of the amount due will become payable. Accounts which remain outstanding for 14 days after the date of invoice, will incur an extra charge of 5% per week of the outstanding amount.

Payments may be made by cash, cheque, or PayPal to studio@glimpsemedia.co.uk or by bank transfer. Publication and/or release of work done by Glimpse Media on behalf of the client, may not take place before cleared funds have been received. Returned cheques will incur an additional fee of £50 per returned cheque. Glimpse Media reserves the right to consider an account to be in default in the event of a returned cheque.

Default

An account shall be considered default if it remains unpaid for 30 days from the date of invoice, or following a returned cheque. Glimpse Media shall be considered entitled to remove Glimpse Media’s and/or the customer's material from any and all computer systems, until the amount due has been fully paid. This includes any and all unpaid monies due for services, including, but not limited to, hosting, domain registration, search engine submission, design and maintenance, sub-contractors, printers, photographers and libraries. Removal of such materials does not relieve the customer of its obligation to pay the due amount. Customers whose accounts become default agree to pay Glimpse Media reasonable legal expenses and third party collection agency fees in the enforcement of these Terms and Conditions.

Copyrights and Trademarks

By supplying text, images and other data to Glimpse Media for inclusion in the customer's website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.

Any artwork, images, or text supplied and/or designed by Glimpse Media on behalf of the customer, will remain the property of Glimpse Media and/or its suppliers.

The customer may request in writing from Glimpse Media, the necessary permission to use materials (for which Glimpse Media holds the copyright) in forms other than for which it was originally supplied, and Glimpse Media may, at its discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used.

By supplying images, text, or any other data to Glimpse Media, the customer grants Glimpse Media permission to use this material freely in the pursuit of the design.

Should Glimpse Media, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow Glimpse Media to remove and/or replace the file on the site.

The customer agrees to fully indemnify and hold Glimpse Media free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.

Alterations

The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge. The customer also agrees that Glimpse Media holds no responsibility for any amendments made by any third party, before or after a design is published.

Licensing

Any design, copywriting, drawing, idea or code created for the customer by Glimpse Media, or any of its contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Glimpse Media and any of its relevant sub-contractors. All design work- where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. Glimpse Media will not be held responsible for any and all damages resulting from such claims. Glimpse Media is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold Glimpse Media responsible for any such loss or damage. Any claim against Glimpse Media shall be limited to the relevant fee(s) paid by the customer.

Data Formats

The client agrees to Glimpse Media’s definition of acceptable means of supplying data to the company. Text is to be supplied to Glimpse Media in electronic format as standard text (.txt), MS Word (.doc) on floppy disc, or CD-ROM, or via e-mail, or memory USB flash stick. Images which are supplied in an electronic format are to be provided in a format as prescribed by Glimpse Media via floppy disc, CD-ROM, or e-mail. Images must be of a quality suitable for use without any subsequent image processing, and Glimpse Media will not be held responsible for any image quality which the client later deems to be unacceptable. Glimpse Media cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services.

Design Project Duration

Any indication given by Glimpse Media of a design project's duration is to be considered by the customer to be estimation. Glimpse Media cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by Glimpse Media for the initial payment or by date confirmed in writing by Glimpse Media.

Rights of Access for Website Construction

The client agrees to allow Glimpse Media all necessary access to computer systems and other locations, as required, in order to complete a website project and until all due funds are cleared, including the necessary read/write permissions, usernames and passwords. The customer also agrees to allow Glimpse Media access to any computer systems, usernames and passwords required to remove data and/or sites for failure to comply with these Terms and Conditions. The customer agrees to supply Glimpse Media with all necessary materials, electronic, or otherwise, required to create and complete the project, and to supply them in a timely manner.

Design Project Completion

Glimpse Media considers the design project complete upon receipt of the customer's signed Approval form or if stated in suitable text. Other services such as printing, display panel production, website uploading, publishing etc either contracted on the client’s behalf constitute a separate project and can be treated as a separate charge.

Unlimited Revisions

As part of Glimpse Media's service, we sometimes offer unlimited revisions on projects. The definition of unlimited revisions is we will alter the work we are under taking an unlimited number of times until it is done and you (the client) are satisfied with the work. As soon as the project is classed as finished, no more revisions on the project may take place without an additional charge.

Website design only

Once web design is complete, Glimpse Media will provide the customer with the opportunity to review the resulting work. Glimpse Media will make one set of minor changes at no extra cost within 14 days of the start of the review period. Minor changes include small textual changes and small adjustments to placement of items on the page. It does not include changes to images, colour schemes or any navigation features. Any minor changes can be notified to Glimpse Media by e-mail and confirmed by post. Glimpse Media will consider that the client has accepted the original draft, if no notification of changes is received in writing from the customer, within 14 days of the start of the review period.

Design Credits

The customer agrees to allow Glimpse Media to place a small credit on printed material exhibition displays, advertisements and/or a link to Glimpse Media’s own website on the customer's website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page. The removal of this credit will result in the customer paying double the price of their project without the discounts unless otherwise stated. The customer also agrees to allow Glimpse Media to place websites and other designs, along with a link to the client's site on Glimpse Media’s own website for demonstration purposes and to use any designs in its own publicity.

Rights of Refusal

Glimpse Media will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. Glimpse Media also reserves the right to refuse to include submitted material without giving reason. Any images and/or data that Glimpse Media does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow Glimpse Media to remove the contravention without hindrance, or penalty. Glimpse Media is to be held in no way responsible for any such data being included. Glimpse Media also reserves the right to refuse to start any project with a client without having to give reason.

Cancellation

Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, Glimpse Media will need formal notification in writing to the company's postal address. The client will then be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by Glimpse Media within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.

Disclaimer

Glimpse Media makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Glimpse Media will not be held responsible for any and all damages resulting from products and/or services it supplies. Glimpse Media is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Glimpse Media responsible for any such loss or damage. Any claim against Glimpse Media shall be limited to the relevant fee(s) paid by the customer. Glimpse Media reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. Glimpse Media will not knowingly perform any actions to contravene these and the client also agrees to be so bound.

Testimonials

Glimpse Media will gather testimonials from email, our live support feature and telephone and can publish them our site and any of Glimpe Media's publicity material. We will not post any public information about you or your company apart from your opinion of our company only, your name and company's name. If we think that the testimonial is true and we have proof that you said it, then Glimpse Media reserves the right to keep the testimonial on the website. If you do not agree that you said it or would like it removed for any reason, Glimpse Media will assess the situation and reconsider the testimonial place on the website. If it is removed from the website, the testimonial is completely deleted from our server and our computer system.

Website Update Package

At present, the website update service only applies to the websites that Glimpse Media has created. One website update package can only be used alongside one website. To have multiple websites updated means that multiple website update packages will need to be purchased. Prices of the website update packages may vary with time. The website update package is subject to our website update excessive usage policy which can be seen below.

The website update package becomes void when the site has undergone any major changes by anyone other than Glimpse Media. These major changes can include any of the following:
Change to the positioning of content on the site
Change of the size of images on the site
Change of cascading style sheets (CSS)
Change of the layout and navigation around the site
Any change to the site made a company other than Glimpse Media

Glimpse Media reserves the right to add other points to the list without notifying the customers of the package. If any other company other than Glimpse Media changes the site in any way, then the website update package becomes void. The website update package is only valid for as long as the site is published online. If the site is ever taken offline or the domain name changes then the website update package is void unless with written consent from an employer of Glimpse Media.

Other services to the site including copywriting and graphic design are not included in the website update package and they would need to be purchased at a rate agreed by Glimpse Media. Glimpse Media will change the content of the site with content from external graphic designers. Any images or text that is given to Glimpse Media to be updated on the site must be owned by the customer and they must own the copyrights otherwise Glimpse Media will refuse to update it on the site. If the customer ever updates information on the site with information or images which they do not own the appropriate rights for or any content which Glimpse Media deems to be inappropriate then the website update package will become void. Glimpse Media reserves the right to judge whether content updated is inappropriate or not. Glimpse Media reserves the right to refuse to update content to the site without reasoning. If a customer’s website update package does become void, they will have to purchase the package again. Glimpse Media reserves the right to charge a different amount to what they originally paid. Glimpse Media reserves the right to deny the allowance of a customer purchasing a website update package. Making Requests can only be made in writing either to our address in Ivybridge or to the email address danchesney@glimpsemedia.co.uk .

The requests that are made by the customer to Glimpse Media only include the following:
Replacement of an image provided by the customer
Replacement of text provided by the customer
Change of colour to the site
If the customer would like Glimpse Media to replace any images or text on the site with content that we replace, then the customer will have to purchase these additionally as unlimited free content is not included within the website update package. When Glimpse Media receives a request for content on the site to be updated, Glimpse Media will update the site as soon as possible and at a time which is convenient to us. We cannot guarantee a time by which any content will be updated. Glimpse Media will ignore any message within the request of any deadline for the update but will put it into consideration.
Glimpse Media cannot be held responsible if the deadline which you set in your message is missed. We do not accept deadlines in the website update package.

The website update package lasts for as long as agreed by Glimpse Media and the customer which will always be in writing as long as there are not any interruptions of it being taken offline for any amount of time. If the site is taken offline, irrespective of time, the package will become void. The number of update requests sent by email or post is limited to 3 updates per week. Glimpse Media reserves the right to change the amount of requests available to the customers without notifying them.

An update is regarded as one piece of content which needs to be changed. That is each image is a request. The changing of one paragraph of text or less will be classed as a request. Lifetime update Package

General

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Glimpse Media reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.

Acceptance of Quotation and Terms and Conditions

The placement of an order for design and/or any other services offered by Glimpse Media constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and Glimpse Media.
